In the modern corporation system, the registration system of a company hold important status, so many countries pay attention to the registration system of a company. On the one hand, the corporation can display it's advantages in the social economy life with the premise that a company exists effectively. Moreover, the corporation registration is no more than the process that a country cognizance whether a company availably exists by it's power. Therefore, no corporation registration, no corporation. On the other hand, the company registration system incarnate the value and the principle of the entire company system. Its seeking goal is not only to encourage and stimulates the people to set up the company, but also to supervise the company in order to protect safety of exchange.This article pierces into the company registration system from its flaws appearing in practice in order to perfect the system. Finally, the author considers the company registration as administrative permission.In the second part, the author analyzes the effectiveness of company registration from the point of view of administrative law and civil law. At the aspect of the administrative law, the author elaborates the four kinds of effectiveness of registration. At the aspect of the civil law, the author thinks that the company registration has three kinds of effectiveness such as creative, creditable, oppositional effectiveness.In the third part, the flaws existing in the process of establishing and registration of company are dissertated detailedly.
