With the reform development of 30 years, nowadays the State-owned enterprises have entered the new stage when management system of state-owned assets has promoted the reform development of the state-owned enterprises. During this stage, the responsibility for remaining and adding value of state-owned assets has been implemented by different levels of government. The supervision of state-owned assets has been strengthened further. It is inevitably that the deepening reform of state-owned enterprises has achieved a great success. The state-owned enterprises have seventy percent of social economic resources as the backbone of national economy. However, those resources are not used properly. The reasons restrict state-owned enterprises from further development are system disadvantages, competitive disadvantages, and financial problems nowadays. On the other side, the valuable reform and development of state-owned enterprises in the past thirty years lays solid foundation for themselves to make transformation development.The GDP per capita of China will reach three thousand US dollars at the end of 2008,which means that the economy structure needs upgrading and industry needs restructuring. This paper proposes the necessity, possibility, barriers, and methods of industrial restructuring for state-owned enterprises.The industrial restructuring of state-owned enterprise has direct impact on stability, development speed, and health of national economy. Meanwhile, the relationship between government and state-own enterprise decides the success of their transformation development. After carefully studying the experience of western countries regarding the government role in the transformation development of state-owned enterprises, the paper proposes that our government should be the owner and supervisor of state-owned assets, the designer and regulator of macro economy, the market planner, the industrial policy and regulation maker, supervisor of market law enforcement, pioneer of foreign trade and guard of social security.The state-owned enterprises in different regions should use different strategies for their transformation development. This paper also elaborates the urgency, methods, and goal of transformation development of Wuxi's state-owned enterprises.
