In recent years, with the powerful promotion of state-owned enterprises renovation, China's economic reform have achieved effective progress in the development of the socialist market economy, meanwhile, there have been a lot of illegal acts in the reform process and makes the state-owned assets at loss in many kinds of ways. For many years, we always solve these severe problems with criminal and administrative measures. After a long period of testing, we have proved that such measures can not effectively to stop the loss of state assets.The author holds that, to effectively address the loss of state assets, we should not only resort to simple criminal and administrative measures, but also necessary to consider about some civil protections and view the issueof state-owned assets to be non-state-owned assets. Due to thelimitationsof law, Criminal andadministrative measures only could control and regulate the loss of state-owned assets in a certain level.The author agrees that the loss of state-owned assets will mainly in pattern of market trade and some natural and legal persons in the course of entering into contracts often by means of using fraud, trap, malicious collusion and cause the loss of state assets. Further more, the management of, boarding members the particular, overstepping their function to dispose of the property interests and incurs the loss of state assets, these are the two major issues in forming the loss, mostly, these two factors are intertwined. Therefore, in order to stop the loss of state assets, it is necessary to take a civil measure and through the regulation of the legality of these transactions to accuse the civil accountability of involved persons, eventually, we can prevent the loss of the state-owned assets.
