Many countries in the world were confronted with rebuilding and developing in politics, economy, culture and education after the World War Ⅱ. Most Governments took many measures to achieve advantageous position in the world stage under the new background. The difficulty confronted by all countries was how to deal with the relationship between government and university under the circumstance of market economy. The paper is established on this issue and clewed by the transforming process between the American state governments and universities in order to grasp the essence of the relationship between government and university under the circumstance of market economy.The relationship between American state governments and universities is varied, and is formed different features in different periods.
