The silent revolution that leads to the social-economic formation is rising quietly, this is the arrival of the era of knowledge-driven economy. During new century, the knowledge economy is becoming the theme in era. Although the economic form has changed from agricultural economy and industrial economy to knowledge economy, the basic conclusion that enterprise is the cell of market economy keeps the same. However, the enterprise of the era of knowledge-driven economy has a series of new characteristics different from the enterprises past- modem entrepreneur should keep a close eye on this change, adjust their knowledge structure, and change their mode of management, so to keep the competence in the market.In the era of knowledge driven economy, enterprise survive is closely link to its innovative ability. The destiny of the enterprise is determined by its innovative ability. And enterprise innovative ability depends to a great extent on the manpower capital of the enterprise.During the process of enterprise innovation, knowing-staff are playing a key role, even the decisive role sometimes. Their innovative motive force has important relations with encouragement.Referring to numerous theories on enterprise innovation, and theories on motivation, the author had studied deeply on the problem of knowledge innovation of the enterprise.,the relationship between manpower-capital and innovation of the enterprise, and the motivation problem of staff.This text carries on studies on the process of knowledge innovation-thecharacteristic of the innovative process models of five generations so far from the sixties is analyzed. The reliance that succeeds of knowledge innovation to organization is analyzed.This text has commented to relevant theories on manpower-capital . The essence to the knowing-staff has been discussed the relationship of distribution of interests in innovative enterprise is present. We got the conclusion that the manpower-capital is the most important capital of the enterprise and the innovation of the enterprise depends on the manpower-capital. Managers should setup the motive mechanism of staff, knowledge transferring mechanism , re-education mechanism so that to be the winner in market.
