China's State-owned Restructuring Of Sme Corporate Governance Research

Now, more than 85% middle and small size enterprises of China has been reformed. The government has expressed that by the end of 2006, state-owned enterprises will quit from usual competitive industry, and all middle and small size enterprises will finish reform work. At present, the most important work is to establish good corporate governance, thus to make the company to develop healthily. The transformation of enterprises'corporate governance may be more difficult than reforming itself. The topic of this article is to research on how to deal with the corporate governance problem in the course of reforming.The logic thought of this article: based on the economic rule that operation mechanism is decided by organization structure, organization structure is decided by corporate governance, corporate governance is decided by property right form, and property right form is decided by possession system. This article start with the characters of middle and small enterprises in China, analyzed the historic reason of present system and its effect on property right. And aiming at the present situation of middle and small enterprises'corporate governance after reformation, stated out the countermeasure. The reformation of state-owned enterprises is a complicated and step-by-step process, the main reformation form a state-held share, employee-held share and sold to others.
