Finance is the core of modern economy, banks mainly constitute our country's banking industry. State-owned commercial banks play a leading role in banking industry. In the past years, our country's finance system has been reformed dramatically, especially the reform of state-owned commercial banks has made a great progress. Construction Bank of China was successfully listed on Hong Kong Stock Exchange in October 2005; Bank of China went to Public respectively On Hong Kong H-share Stock Exchange in June 2006 and domestic A-share Stock Exchange in July 2006; China Commercial and Industrial Bank was listed simultaneously on both Hong Kong and domestic Stock Exchanges in the mode of A plus H share on October 27, 2006; Construction Bank of China was successfully listed on domestic A-share Stock Exchange on Sep. 25, 2007. But the reform of state-owned commercial banks just began, there are still a lot problems needing to solve, a lot of work to do and difficulties to overcome. The domestic banks still lag far behind the big international modern banks in such respects as capital abundance, strict inner system management, operational safety, excellent services, higher profit, creative ability, strong international competitive ability. The core for state-owned commercial banks to convert really into modern commercial banks is to optimize corporation administration.The management frame of state-owned banks generally applies to the management of enterprise corporation, but the specialties of banks make its management basically different from the generality of corporation management. Unique best corporation management standards don't exist in the world. British-America model and Germany-Japan model are most representative models in managing corporations in developed countries. It is to significantly exemplify to administrate our country's state-owned commercial banks in comparison, reveal and analysis of the two models. State-owned commercial banks will undergo a gradual long process in perfecting corporation administration structure as well as optimizing corporation administration system. In our country state-owned commercial banks have many problems in corporation administration. Firstly, the problem is the absence of capital contributor position of state-owned financial asset; secondly, the problem is to integrate the balance system of inner benefit of state-owned commercial banks; finally, the problem is to improve the outer management structure of state-owned commercial banks. This article states the points of view regarding optimizing administration of China state-owned commercial banks on the basis of diversified knowledge from Enterprise Management, Finance Management, Finance, Macro-strategies about Enterprise Management, Political Economics, etc. In comparison and consideration with the enterprise management model of western countries, in accordance with the real situation of the transformation process of China state-owned commercial banks as well as in view of commercial bank internationalized operation. I think the management of state-owned commercial banks is not only to control and manage inner structure of commercial banks, but also outer structure in order to reach the goal optimizing the management of commercial banks.
