Yunnan has abundant resource such as living creature, plant, metal mineral, tour and agriculture.. .etc.And has location advantage as bridgehead of china-asean free trade area and greater mekong sub-region economic cooperation. But the small and medium-sized private enterprise' s development is not satisfied .The exterior factor have two side . On the one hand ,the local government lack of the valid policy of industry guide lead to the small and medium-sized private enterprise can' t form the model of industrial cluster development. On the other hand, because social service system of the small and medium-sized private enterprise still didn' t set up, cause the private capital is difficult in establishing and financing. In the internal factor, the bottleneck that lie in the small and medium-sized private enterprise is haploid property right , which had became the system restriction. The the small and medium-sized private enterprise still lacks of principle of enterprise management and the explicit long-term development strategies. The interaction of exterior environment and internal factor result in shortage of core competence .In Yunnan province, if the exterior environment in favor of private capita establish enterprise, the small and medium-sized private enterprise can further develop and contribute to society.The local government should set up a social service system of the small and medium-sized private enterprise.At the same time, local government should establish policy of industry guide that promote clustering development of enterprise base on resources factor and economic structure.When the small and medium-sized private enterprise breakthrough the system restriction of haploid property right and scientific structure of enterprise governance came into being ,the enterprise should establish the long-term development strategy and implement brand strategy, expand cale of management and administration .
