Governance Of Insurance Companies, International Experience And Revelation

With the all-around Opening-up of China insurance market and establishment of the Three Pillars Approach Theory of Insurance Supervisory, insurance industry in China has entered into the new period of corporate governance revolution. In recent years, useful researches have made on setting up and improving the corporate governance structure in insurance industry, which has taken some achievements and brought some problems to consider.On the basis of analyzing the common characters of corporate governance and special characters of insurance company management, this thesis think insurance company governance should pay more attention on regulations, participation of stakeholders such as insurer and insurant and external supervision. This thesis focused on analyzing insurance company governance inside and outside the country positively. Then, this thesis reviews the development, achievements, actuality and problems of insurance company governance. At the same time, according to the different requirements of insider and outsider control model, this thesis summarize the regulations of insurance company governance from IAIS, OECD and Hong Kong district and get the general requirements by analyzing the model of international insurance company governance outside the country. Secondly, comparing the model of foreign insurance company governance by means of case study, some illuminations can be acquired such as selection of company governance, action of directors, managers and special persons, role of investors, establishment of restriction system, regulation of information disclosure and introduction of external supervision. Further, this thesis put forward measures and establishes brief evaluation system of insurance company governance in our country. On improvement suggestions, by means of combining international experiences with practice in China, this thesis think the risk of control and interference from managers and shareholders, the restrictions on superior managers, the action of information disclosure, external supervision and enterprise culture should be cared about in the improvement process of company governance structure. Last, the evaluation system of insurance company governance constitutes from the six aspects of objects, rules, contents, procure, results and action of results in this thesis.
