The Study On Corporate Governance Structure Perfection Evaluation And Supervisory And Incentive Mechanism

The SOE (state-owned enterprise) reform has been a key link of the economic system reform of our country all the time. Since 1978, the SOE reform of our country has gone through three stages on the whole. The administrative attribute of SOE that originally totally depended on the government has already been transformed progressively into the one with market competition. The transition is presented mainly in the fact that the budget restrain in enterprise has begun to harden and be sensitive to market signal gradually, that the managerial skills of enterprises have been improved, that the economic benefits of enterprises take a favorable turn to some extent. Though the achievement made by the SOE reform is obvious, due to the historical reasons and realistic condition the enterprise transformation has just completed the general frame of the modern enterprise system. The enterprises cannot work normally without the construction and perfection of corporate governance structure. Therefore, the effective corporate governance structure is the standard by which the modern enterprise system is really set up. In recent years, academia has done a lot of research on the corporate governance structure, and gradually made it become one of the key subjects in theoretical research. Thus, the study on corporate governance structure project has great theoretical and practical significance.On the basis of introducing research background,significance,contents, innovations, and relevant theories concerning corporate governance structure,the dissertation attempts to study on corporate governance structure from four aspects. First of all , comparing and analyzing the corporate governance structure standardization,systematic environment,and the development trend in foreign countries,the dissertation studied the issue of the corporate governance structure standardization of our country. The standardized frame of our corporate governance structure system has already been set up tentatively and almost every regulation has already been in line with international standards.
