Nowadays, Cooperative learning (CL) and Task based Language Teaching (TBLT) are the mainstream learning theories. This thesis drew the essence of CL and TBLT, and put forward the model of Cooperative Learning of College English on the basis of Task based Language Teaching (CL of CE on the basis of TBLT). This model combines the principles of practicality, knowledge and interests, facilitates mobilizing the initiative of both teachers and students, and attaches the central position of students and the leading role of teachers in College English teaching.This thesis consists of five Chapters. The first chapter of this thesis gives a brief introduction. Chapter two provides the definitions of CL and TBLT by surveying the related studies and explores the theory for CL of CE on the basis of TBLT through the reviewing of the literature. From the linguistic and SLA theories, Chapter three analyzes the theoretical underlying. Chapter four conducts the experimental research. In order to test the hypothesis of this study, the author conducted an experimental research in two parallel classes at Shi Hezi University in the first semester of 2010 2011 academic years, guided tests, questionnaires survey and interviews and collected the relevant data. Chapter five comes up with the conclusion about the advantages, limitations and recommendations for the further study are given.
