Of Corporate Social Responsibility Legislation Perfect

The birth of the company is a great invention of the 20th century, which can be comparable with the invention of the steam engine. With its unique independent legal and limited liability, companies promoted the development of economy rapidly and became the darling of society. However, along with its growing economic power, the company had caused all kinds of social problems.In this social background, the theory of corporate social responsibility had been formed gradually and continued to develop.For our country, corporate social responsibility is an exotic. The theory on corporate social responsibility of ours was researched later and the time of research was shorter than western country. Although many scholars in our country have begun to study the theory of corporate social responsibility in recent years, there still have some gap between China and Western developed countries. We still have a long way to go.The corporate social responsibility has been clearly specified in the general provisions of the company law revised in 2005,which has a great significance and signify that the corporate social responsibility has broken through the level of theory and has been incorporated into the scope of the regulation of law. It means that our company law is integrating with the world gradually and is entering a new stage of development. However, the provisions of the corporate social responsibility in the company law are lack of flexibility and maneuverability; it leads to many problems of corporate social responsibility in reality. Companies are still lack of corporate social responsibility seriously and violate legal responsibility and evade social responsibility. This requires us to study the perfection of the legal provisions of corporate social responsibility deeply.The purpose of this paper is to discuss the necessity of perfecting the legislation of our corporate responsibility and finally propose some suggestion from the angle of legislation through describing the basic theory of corporate social responsibility, combing the law practice of corporate social responsibility in foreign countries with us and analyzing the current status of our legal provisions. Except the introduction and conclusion, the paper is constituted by four parts.Part 1 is the introduction of some basic theory of corporate social responsibility, which provides the theory foundation of discussion in the next part.Part 2 will focus on giving an introduction of the international practical experien-ce of the legislation of corporate social responsibility, such as the United States, Germany, Japan and so, and showing some apocalypse from which China can get in order to provide some reference to china.Part 3 Analysis the advantage and disadvantage of the legislation of the current Company law provisions relating to corporate social responsibility and discuss the necessity of legislate perfection from some specific examples in real life.Part 4 is the most important part in this paper. It will propose the specific advice of perfecting legislation of corporate social responsibility from substantive law and procedural law.
