With the in-depth development of the socialist market economy, China's Commercial Registration has also exposed some problems, and there are some flaws in the existing Business Registration system design, such as legislative emphasis laying too much on the public authority (administrative power and over-intervention) while ignoring citizens private rights (right to free exercise of providers), rigidly conservative acts of government administration, unclear responsibilities and rights, inefficiency. In it there are high barriers to entry for enterprises, access to complex system design of business, and high costs for registration.. Such a influence, due to too much government control, is too strong, to meet flexible and efficient market economy requirements. In order to better protect the development achievements of China's socialist market economy, studying this system is particularly urgent. Based on the above understanding, the author selects China's commercial registration system as the study object, aiming at analysis of this system of business registration under theoretical guidance, in particular its functions and effectiveness, as well as the registration subjects and the actual management of registration. In this study, the author uses comparative research methods, pays much attention to the experience of the foreign commercial systems. In addition, the author uses new public management theory, rational choice theory, new institutionalism and other related concepts to analyze the problems, and reasons for improving the current commercial business registration system. On the basis of the analysis and summary of Commercial registration and management system on the status quo, the author puts forward some proposals to improve current commercial matters registration system to meet the modern market economy requirements, in order to provide new theoretical perspective to the Commercial registration system reform, to find new ways to solve practical problems more effectively and to promote healthy development of commercial registration management in China.
