Study On The Reform Of Internal Government Mechanism In Xiangmei Cleaner Coal Energy Co., Ltd.

The state-owned business reformation has been carried out more than 30 years and has made great achievements. The goals of this reformation have been partly achieved and the state-owned enterprises have gotten rid of the difficult position. But there have not fundamentally solved the question that state-owned business's low operation efficiency. The reason is there have not established the modern enterprise system, which have a clear property right and responsibility, separating government administration from the enterprise management, and scientific management. The official transcript, which has been set down in the 17th party congress Fifth Plenary Session, has pointed that corporate system mechanism has entering a new stage. In this time, how to correct the ownership structure of state-owned enterprises and build the scientific internal management mechanism have become the most important questions which we must pay attention to.The paper includes five parts, the first chapter pointed out the significance and the research goal, carried on the analysis to the domestic and foreign the company governs theory, secondly indicated the innovation and shortages in this thesis; on the basis, the author introduced the Property Rights theory, Separation and ownership theory, Agency theory and Stakeholder theory, pointed out the content and the specificity of the state-owned enterprises governance; in the third part, author pointed out the problems between in the Xiangmei Cleaner Coal Energy Co., Ltd. From the ownership structure, corporate governance structure, manager selection, staff incentive and restraint mechanisms, in this part, the author also discussed the necessity of internal governance mechanisms reform; from the author opinion, managers can improve internal governance mechanisms through optimizing the ownership structure, improving the corporate governance structure, developing a scientific selection criteria, increasing the incentive mechanism content and meliorating the internal restraint mechanism; in the last part the author put forward five security measures for Xiangmei Cleaner Coal Energy Co., Ltd's internal government, such as fostering the corporate culture, building the system construction and human resources construction, processing the various labor relations and seeking the support of government and employees. The author hope through this article can provided the theory instruction for Xiangmei Cleaner Coal Energy Co., Ltd's internal government; on the other hand provided the information and reference for other enterprises.
