In 1978, China began to carry out the policy of reform and opening up. China has made remarkable achievements in the past three decades. FDI developed from scratch. Meanwhile, a registration system on foreign-funded enterprises with Chinese characteristics has established and became more and more mature. It has also played an important role in the process of a scientific and effective utilization of foreign capital.However, because our economic system is born out of the planned economy system, some characteristics of the planned economy are easily to be found in the foreign capital utilization system. And the world economy has changed a lot. All these factors increase the difficulty in introducing and managing foreign capital. And our traditional management model of "establishment-emphasized, surveillance-neglected" has become a bottleneck to the scientific utilization of foreign capital increasingly. Shanghai has always been a sound place for foreign investors to start their businesses; therefore enterprises'demand to make the reform on the current enterprise registration system is more urgent. To ensure national economic security under the premise of maximizing the advantages of foreign investment, reform on the current registration system for foreign investment for foreign investment have significant importance.This paper consists of five chapters. Chapter 1 analyses the significance. Chapter 2 introduces the basic theory of foreign capital and registration system. Chapter 3 introduces the current situation of foreign enterprises registration in Shanghai and its problems. Chapter 4 compares our enterprise registration system with other countries. Chapter 5 makes suggestions on how to make the reform of the registration system.
