In the 21st century economy times, knowledge and skills in enterprise occupies more and more important position, the performance of the owner of the knowledge and skills, i.e. knowledge staff, will be the key to decide enterprise development speed and high efficiency. The enterprise in China has paid more attention on motivating the knowledge employee, and it becomes one of the important research subjects among enterprise management disciplines to establish the effective incentive mechanism.This article starts with the macroscopic background of enterprise development, clears enterprise incentive problems and expounds the background, significance, thoughts and methods. Depending on knowledge staff incentive theory, this paper summarizes the knowledge staffs definition, characteristics, incentive factors and incentive connotation; On this basis, there is an overview of traditional incentive theories and modern incentive theories. The former includes:content-type incentive theory, process-type incentive theory, strengthening-type incentive theory, comprehensive-type incentive theory. The modern incentive theories include:the principal-agent theory and human capital property right incentive theory. It puts forward the problems such as single incentive pattern of the enterprise knowledge staff, the incomplete of the enterprise's salary incentive system, the weak incentive effect, the ineffective operation property rights, the ignored of the employees training motivation, and the single career passage. And the reason of the existence of the problem is due to the influence of old culture concept, the flaw of enterprise system and capital system, and lack of communication between administrators and knowledge-type employees and science management system.The purpose of this article is to construct the incentive mechanism of knowledge employees in our enterprises. First, it constructs the principles of the knowledge staff incentive mechanism; there are fairness principle, transparent principle, personalized principle and culture motivation principle. Secondly, it discusses the measures of knowledge staff incentive mechanism,which included providing a wide range of incentives, implements comprehensive knowledge staff salary strategy, strengthen the training, pay attention to professional career management and create good loose free work environment, pay attention to culture motivation, build good organizational culture, etc. And it takes the incentive experiences in Toyota company, GE and Nokia's as examples, all these are worth our country enterprise to reference. Finally, it based on the incentive mechanism of knowledge staff to optimize the incentive of knowledge staff in Yantai Wanhua.
