In recent years, Medium and Small-sized Technology-based Enterprises grows rapidly. And talents, having the new ideas, key technology and innovation capability, are the key to promote competition competence of Enterprises and to win the advantages in future development. However, in China, the incentive mechanism of talents in Medium and Small-sized Technology-based Enterprises has some problems and defects, such as high turn off rate and shortage of talents. Therefore, the situation is calling for a new effective incentive mechanism in stimulating talents, which will have both theoretical and practical significance.Based on the Western Motivational Theory and Chinese related Motivational Theory, the paper focuses on the key incentive factors. Through surveying of 82 High-tech enterprises in Suzhou Dushu Lake Science and Education Innovation District, this paper summarizes the incentive factors and the relationship and influence among them and discusses the incentive mechanism of talents in Medium and Small-sized Technology-based Enterprise.The data collection has been undertaken descriptive analysis, correlation analysis, analysis of variance, regression analysis by using SPSS17.0. The results shows that, first, the key incentive factors for talents in Medium and Small-sized Technology-based Enterprises are reward factors, personal development factors and organization factors; secondly, there are differences between the real motivated feelings and the significance of the incentive factors by the talents in Medium and Small-sized Technology-based Enterprises; thirdly, some items such as the talents'rank, working experience are important variants in understanding the influence of the incentive factors; finally, the relation between the incentive factors and the real motivated feelings is a significant positive correlation. According to the regression equation, this paper builds up of a model for talents'incentive mechanism, resulting in the evaluating the efficiency and optimization of incentive mechanism. Considering the characteristics of both talents and Medium and Small-sized Technology-based Enterprises, this paper makes analysis and attempts to solve the essential problems existing in those enterprises, to find a practical way and common pattern in building up an incentive mechanism of talents in those enterprises, in the hope that it can provide suggestions or references to this issue.
