Within the 30 years of our country's Reform and opening, our national econimic structure has changed greatly. The most obvious and striking trait is that our private enterprises sprang up rapidly, especially the Small and Medium-sized Enterprises which gradually became the important part of the socialst market economy. The Small and Medium-sized Enterprises made full use of their flexible market mechanism and their flexible adaptations and developed soundly and quickly. However, with the external conditions changing and the sustainable and rapid development of the Small and Medium-sized Enterprises, their own defects have gradually emerged, like the management of stimulation, particularly the contruction of the comprehensive system of incentives to stimulate the key staff, which has posed a sharp contradiction to its own stable development. Therefore, in carrying out updating the key staff's managementlevel we must proceed from the realities of the Small and Medium-sized Enterprises and key staff, study the relative theory of stimulation and follow the law of management.This paper, based on the study and analysis of realities of incentives to stimulate the key staff of the Small and Medium-sized Enterprises of China, taking the realities and deficiencies of the human resources management of Hengtong Company, points out that provide valid and effective incentives mechanism for key staff is the essential choice. The paper first reflects and bases on the relative fundamental theories of incentive mechanism and analyzes the needs of key staff in the Small and Medium-sized Enterprises of China to point out the common defects in the incentive mechanism of the Small and Medium-sized Enterprises. On the bases of the investigation of Hemgtong Company's incentive mechanism to find out the defects. According to the incentive standpoints, offer the basic proposals and adivces on the contruction of incentive mechanism of the Small and Medium-sized Enterprises, especially for the Company of Hengtong.This paper first states the questions, analyzes the defects and conquer the defects. Above all, the paper anylyzes the theories of incentive mechanism and defines the basic concept of the Small and Medium-sized Enterprises of China; proves that necessities of the construction of the incentive mechanism of the Small and Medium-sized Enterprises. Second, this paper analyzes the realities of the stimulation of the key staff in the Small and Medium-sized Enterprises of China and points out the problems. And makes system analysis of the realities and summerizes the current situation of the incentive mechanism of Hengtong. What's more , the paper points out the defects of the incentive mechanism of Hengtong, like the incentive mechanismis short of guarantee system; the deficiency or impairment in the mechanism of performance appraisal; the external and internal incentive effects function non-effectively. And all the above proviods the essential data for study. At last, this paper offers the basic methods for the stimulation of the key staff in the the Small and Medium-sized Enterprises, including the external, internal and cultural mechanism. And also make an intensive study of the different incentive mechanisms and methods of operation.
