The Corporate Governance Construction And Reform Of Postal Savings Bank Of China

Postal Savings Bank of China is a newly established bank, equity structure of a single variety of small business enterprises are in the stage of rapid development. As a fifth-largest state-owned commercial bank, postal savings bank corporate governance plays an important role in the stability of the entire financial system, yet the study on this field is seldom done.The corporate governance structure of Postal Savings Bank of China has a special advantage:Firstly, since the day of the establishment of the postal savings bank, it take the form of enterprise legal person to establish a limited company; Secondly, the Postal Savings Bank is a new bank, all kinds of business develop quickly, it faces the fierce competition in every field, which make the reform of the internal corporate governance become an urgent need. Thirdly, the four state-owned commercial banks and joint-stock banks have finished the shareholding reform, so the corporate governance of Postal Savings Bank of China can learn a lot from their experience and make full use of their advantage. The purpose of this thesis is to analyze the current corporate governance model of the Postal Savings Bank of China and then give some suggestions on the reform and improvement of the corporate governance of postal savings bank.This thesis is to study the corporate governance issue of the Postal Savings Bank of China from the perspective of stakeholder theory. At first, it gives a brief introduction of the study on the governance of commercial banks. Then, analyze the problem of the corporate governance of China Postal Savings Bank. The problem of the postal savings bank is that the property rights is not clear, the relationship between postal savings bank and post office has not been defined clearly also. Then, this thesis introduces the governance model of the foreign companies, the foreign postal financial reform experience and experience in corporate governance of domestic banks. Finally, it analyze the corporate governance mechanism of the postal savings bank .It draw a conclusion that the diversified shareholding structure should be established to form an effective incentive mechanism, and strengthen the network of qualified personnel, establish a comprehensive risk management system .This study of Postal Savings Bank of China in corporate governance use the method of inductive and deductive. It analyze the experience of the foreign postal corporate governance and draw a conclusion. Comparing with the four state-owned commercial bank, analyze the disadvantage of China's postal savings bank corporate governance and draw a conclusion.The key part of this thesis is the fifth chapter of China's postal savings bank's corporate governance structure design and reform.it study the corporate governance mechanism (ownership structure, consists of Professional Committee of the Board of Directors and supervisors) of the Postal Savings Bank of China from the perspective of internal control, risk management, information disclosure, and social responsibility.
