This chapter is divided into three parts:The first part is comparison of the voting power of company shareholders and cooperative members, the second part is the principles and order of the earnings’distribution and the third part is the comparison of the two practice models’experience.The fourth chapter of this paper is "rural land contract and management rights of the liability risks of demutualization". In this chapter, first part is the interpretation of existing legal criterion, then analysis of the rural land contract rights and the division between the basic theorem and practice, according to the problems and contradictions in our legal system, Urgent China’s legal system and the relevant government departments give a active response.The fifth chapter of this paper is "conclusion and suggestion". This chapter first proposed the shortcomings and defect of our current legislation based on the explanation and research above. Here are the innovations of this paper:in this dissertation, the author focuses on two rural land contracting right buying shares forms these are the company and cooperative organization.
