| Financial conglomerates,refers to the legal body of enterprise whose dominantbusiness is financial business.Related-transaction,is the tunneling behavior betweenenterprise group, among whom some can control or put significant influence onothers.Therfore, related-party transaction of financial conglomerates,means varioustrading activities that happen among financial group,including tunneling behaviorsbetween the controllers and the controlled,and only among the controlled,whatever inthe way of contract or not.With the globalization of economy and increasingly heatedfinancial competition，financial institutions which break through traditional businessscope and supply various financial services has become an international trend.At thesame time,related-party transactions of financial conglomerates are becomingincreasingly frequent,causing extensive concern of international community.Related-party transactions of financial conglomerates can obtain the scale in economyand synergy effect,but also inevitably lead to a variety of problems,such as hugeinternal and external risk. That is why we should strengthen and recreate the legalsystem for the supervision of financial group’s related transactions.In view of that therelated transactions of financial group are inevitable and reasonable to some extent,the international community generally don’t ban them,but make legal supervisionmeasures which are very strict and perfect.At present, the financial group and itsrelated transactions in China is already a indisputable reality.However,due to the lackof systematic legal norms, operability of the regulatory system and efficiency ofregulatory structure,our job is not doing very well.So that we should perfect oursupervision system immediately.Fortunatelly,we can benefit from expierence of theUSA and the European Union,which are famous national and region having traditionof mixed financial business and dealing with related-party transactions effectively. |
