With the in-depth reform of higher education, the autonomy of running schools is being realized in our public universities. The board system should be improved with a significant meaning in our public universities.Based on the theories of Stakeholders and Principal-agent, it is necessary to establish the board of directors in public universities. With the helpful reference of the governance structure of the board in foreign universities, policy and suggestions are provided to improve our board system on the basis of a comprehensive analysis of the current situation and problems in public universities.There are some tough problems in our board system of public universities. Some core stakeholders are not included in the board with a damage of their benefits, the "principal-agent problem" is still tough with the lack of effective supervision, and even the institution of the law of the board is not perfect. Considering the present higher education system and the theory of the Stakeholders, the board of directors in our public universities is defined as the quasi-policymaking body with a right to deliberate key issues of guiding principle of running college, teaching, scientific researching, construction project and financial work. Before submitting a resolution to the Party committee, the board is responsible for deliberate it to ensure all the stakeholders’benefits to be satisfied. The membership of the board should includes the representatives of teachers, students, main leaders of the university, government, schoolfellow, community workers donators and other stakeholders, and the secretary of the Party committee is the-chairman of the board. The board system of our public universities should be improved in the following aspects:clearly defining the board nature, membership and responsibility, completing the organization system and incentive and restraint mechanisms, improving our policy and institutional guarantee.
