The board of directors,as the highest decision-making and management institution of private universities in China,plays an irreplaceable role.Whether the board system is perfect and scientific is not only directly related to the survival and development of the school,but also the vital interests of other stakeholders such as staff,students,and so on.According to the existing literature and field investigations,it is found that most of the private universities in China implement the principal responsibility system under the leadership of the board of directors,and most of the private universities have established boards of directors.However,due to the adjustment of specific national conditions and imperfect laws,there are still many problems with the board system of private colleges and universities.For example,the composition of the board of directors is single;the powers and responsibilities of the board of directors and the principal are unknown;the operating mechanism of the board of directors is not smooth;and the lack of effective internal supervision Mechanism,etc.These problems will affect the healthy operation and scientific development of our private colleges and universities,so we must solve these problems.There are five chapters in this paper.The first chapter is the introduction.The main contents are the reasons for the topic selection,the research significance,the literature review,the research ideas and methods,the innovation and shortcomings of the research,etc.From the existing literature,there are few empirical studies on the board system of private colleges and universities in China,and most of them focus on theoretical research and comparative research.The second chapter is the theoretical research part of this paper.Firstly,it defines the core concept of the board of directors system of private colleges and introduces the theoretical basis of this research: principal-agent theory,corporate governance structure theory and policy implementation theory.The third chapter analyzes the development process and present situation of the board of directors system of private colleges and universities in China.The development time of the board of directors system of private colleges in China is short,and it has been interrupted.Through the comparison between the board of directors of privately-run colleges and universities,the board of directors of privately-run colleges and universities and the board of directors of companies,the board of directors of privately-run colleges and universities not only has some characteristics,but is more of its own particularity and complexity.The fourth chapter through the board of directors of X college of sichuan province relevant personnel interview,understand the current situation of the board of directors system,find out the problems and analyze the reasons.The investigation found that there was an unreasonable structure of board members in the board system of sichuan X college.Lack of the chairman's restraint mechanism;The absence of a principal;Lack of supervisory mechanism of the board of directors;The reasons for the lack of scientific nature of the rules of procedure are as follows: the offside of investors' functions;The board of directors lacks the corresponding supervision mechanism;The board of directors and the President lack the corresponding incentive and restraint mechanism;The law on promotion of the people does not specify the operating mechanism of the board of directors;The corresponding laws and regulations are not strictly enforced.The fifth chapter is to learn from the advantages of the board system of private universities at home and abroad.Sound operation mechanism of the board of directors;Complete supervision mechanism,etc.In view of the problems existing in the board of directors system of private colleges in China,the following Suggestions are put forward: optimizing the structure of board members;Improve the supervision mechanism of private colleges and establish the supervisory board;The school directors should be separated to perform their respective duties and establish an incentive and restraint mechanism.Improve the operating mechanism of the board of directors,standardize the meeting system and rules of procedure;We will improve the relevant laws and regulations and formulate the articles of association of the board of directors.
