Research On The Optimization Measures Of Corporate Governance Structure For Changchun Tractor Group

The corporate governance structure is the core of the modern enterprise system.Since the reform and opening up, the establishment of modern enterprise system hasbeen the target of state-owned enterprise reform in China. Since the modern enterprisesystem is built on the basis of standard corporate governance structure, the subject ofcorporate governance has become hot spots not only in foreign countries but also inChina. State-owned enterprises have tried a number of attempts with success.However, the corporate governance of many state-owned enterprises to establishmodern enterprise system is also a mere formality. Imperfect corporate governancehas seriously hindered the development of enterprises.In this paper, Changchun Tractor Agricultural Mechanical Equipment GroupCo.,Ltd. is used as an example to explore the establishment and improvement of thegovernance structure of state-owned holding company after the restructuring. Since2007 Changchun Tractor Group experienced equity disputes and strategicrestructuring, the company’s development road twists and turns. In order to achieve astable and healthy development and improve the competitiveness and the operationaleffectiveness of the company , the management has recognized the importance ofthe establishment of effective corporate governance structure. Although in recentyears, the company has been constantly trying to improve the corporate governancestructure, the company’s governance structure is still not standardized, restricting thecompany’s long-term development. Therefore it is necessary to study the corporategovernance structure of Changchun Tractor Group in order to identify the problemsand recommend the appropriate optimization measures.This paper first discusses the theory of the corporate governance structure inorder to provide theoretical basis for the future study. Then this paper introduces themodel of corporate governance in the United States, Germany and Japan, andcomparatively analyzes their advantages and disadvantages as well as the model ofcorporate governance in the international development trend. By drawing on theadvanced concept of corporate governance, combined with China’s specific national conditions, the paper analyzes the current situation of the Group’s corporategovernance structure. Then the paper has focus on the company’s shareholderstructure, board of directors and supervisors and incentives of management. Byfinding these problems , the paper further analyzes the causes of the problem andfinally provide the optimized way to improve the corporate governance structure ofthe company.
