As an important part of the management, professional managers has overall responsibility for the daily operation and management of specific affairs modest incentive pay or not largely affect the manager’s attitude, as well as the input, thus determining the company’s operations and future development. In recent years, the whole society called the "narrow the gap between the rich and the poor protection of equitable income distribution environment", the Executive Compensation Incentive become an increasing source of concern. So, in considering the astronomical salaries, as well as the brain drain caused by the insufficient incentives to avoid excessive self-serving behavior of managers brought social problems, you must first study at this stage what factors played a role in the decision-making process of the salaries of professional managers and the role of the degree of. Based on relevant theory and part of the research results to the southwest of listed companies as a sample, based on the sample companies to disclose relevant data from 2009 and 2010, from professional managers’ personal characteristics, firm characteristics and corporate governance structure,9 assumptions proposed in this article, the use of the SPSS stepwise regression analysis revealed that the impact of professional managers pay factors, and relevance, the EVIEWS software variable multiple linear regression to verify the proposed hypothesis, and at the same time confirmed the accuracy of the results of stepwise regression analysis. Finally, according to the statistics and analysis, put forward policy recommendations to protect the reasonable salary incentives.The empirical results show that the degree of importance of the influencing factors of professional managers at this stage in southwest listed companies pay the order is:companies by sector, manager qualifications, company size, company performance, managers of two jobs concurrently, and ownership concentration; career executive compensation to explain with the above six variables were significantly positively correlated; the salaries of professional managers with the age of the managers, but not significantly; professional managers pay independent of the company’s growth value and the proportion of independent directors influence. Statistical results and empirical findings:the adjustment of government behavior, and improve the external environment, to build effective professional manager market; great importance to and strengthen the role of performance indicators in the decisions of professional managers pay; improve the behavior of professional managers oversight mechanisms; perfect corporate governance structure to protect the exercise of rights; Professional Executive Compensation Information Disclosure of the five policy recommendations.
