With the new era of knowledge economy,the strategic thinking of "People-oriented" has been gradually accepted. Human Capital is the knowledge and skills which inherents in the laborers. As a valuable resource scarcity, it plays an more and more important role in today’s economic development. Thus, Chinese and foreign scholars set off a wave of human capital and enrich the human capital theory in the long-term exploration and development. On this basis, they made a lot of human capital measurement methods.In this paper, the structure is divided into six parts. The first part is the introduction, which Summaries up the domestic and international research of Merchants stock,then Clarifyies the context of the development of human capital theory in the Evolution of the "Theory of Economic Growth". And proposes the research topic, research methods and ideas of the thesis. The second part is to specify the content and meaning of the Merchants and Human Capital stock system.and the role in their respective historical stage. The third part does a comparative analysis of "Merchants stock system" and the Human Capital of the system, through the similarities and differences and finds their inner links. On this basis, The fourth part is the basis of the third part which talks about inspirations of the "Merchants stock system" to the "Human Capital of the system". The fifth part though the analysis of the "Human capital value system" and the comparative study of the existing Value of human capital group, proposes a new measurement model and demonstrates the feasibility by using the new model. The six part is a summary of the entire article.
