Research On The Improvement Of Corporate Social Responsibility System Under The Company Law

The pace of world economy is speeding up and international competitionbecomes more and more intense. Under this international background, our countrytakes the path of socialist road with Chinese characteristics, carries on socialistmodernization construction, adheres to the scientific concept of development andendeavors to realize the coordination of economic development and socialdevelopment. However, the way of development in our country is not plain sailing. Inthe pursuit of economic interests, enterprises often ignore social responsibilityconstruction. The development of economy and society tends to appear discordant.Various enterprise social responsibility ignorance events happen frequently:enterprises providing non-conforming products damaging the interests of consumers,incoordination of employee-employer relationship which leads to strike and even aseries of malignant events and environment pollution and emission of exhausted gasand discharge of sewage which seriously affect the living environment of residents.This deviates and precludes the economy of our country from health development. Inpursuit of high profits by an enterprise is determined by its economic mission, whichis not to blame. However, if the economic benefits are obtained on the basis ofdamages to social public interests, it will be necessary to regulate and administrate theenterprises.The concept of "corporate social responsibility" was originated from westerncountries and is valued a lot worldwide nowadays."Corporate Social Responsibility Standard" attracts extensive attentions of such major business magazines as Fortuneand Forbes and becomes one of the important standards for ranking the enterprises. Inview of challenges against security and ecological environment existing in thebusiness world, after Annan, the former Secretary-General of the United Nations, tookoffice, he called for enterprises to take social responsibility and to safeguard the rightsof citizens of the world. Along with the development of the multinational companies,"Social Accountability International Standard"(SA8000) widely arouses extensivediscussions of the countries all over the world. As an international standard of ethics,it stresses that enterprises should fulfill social responsibility and protects the interestsof employees, which makes higher requirements on the social responsibility of theenterprises of the countries.The Company Law of our country includes relevant provisions on corporatesocial responsibility and is an important legislation of our country on corporate socialresponsibility administration. However, the laws and regulations in our country arenot perfect and lack operability on the administration of the enterprises to fulfill socialresponsibility. In addition, the fulfillment of corporate social responsibility and theimprovement of social responsibility system mean a lot to the enterprises and thesociety as a whole of our country. Therefore, we should understand corporate socialresponsibility more, regulate business operations of enterprises and improve corporatesocial responsibility system.This article first introduces the background and meaning of corporate socialresponsibility research in China and summarizes such theoretical knowledge asconnotation, nature and meaning of corporate social responsibility in China. Then itstates the current situation and the defects of the current corporate socialresponsibility system in China. Finally by making reference to experiences of foreigncountries, it proposes the basic ideas on the improvement of corporate socialresponsibility system of our country in three aspects, which are system construction,culture construction and practice.
