Executive compensation of listed companies in our country essentiallybelongs to the category of company independent, autonomous decision, but thereare introduced in the field of executive compensation law regulation more realisticnecessity. The stakeholders of listed companies and non-listed companies are verydifferent, and listed companies undertake social responsibilities than other firms,so the executive compensation of listed companies need to be further transparencydisclosure and reasonable regulation. Legal regulation is reasonable, comparedwith external auditor’s professional auditing and supervision of the financialstatements of listed companies of state organs, many problems of executive payhas legal regulation related to system setup is not reasonable. This article in viewof the main problems of executive compensation of listed companies to explorethe construction of the system of legal regulation and executive compensationmode, and to subdivide the legal regulation to determine mechanism andexecutive compensation disclosure regulation. The introduction of foreignexperience with China’s concrete practice carries on the analysis comparison,seeking for regulatory approach to executive compensation in China.
