Along with the economic development, China’s urbanization process is in the rapiddevelopment. However, old city reconstruction is often neglected,therefore old cityreconstruction transformed to kind of real estate development project emerged.Relative to the general real estate development project, this kind of project have to passon compensation phase, old infrastruction phase and so on. Large amount of its investment,long development cycle, large uncertainties and other characteristics bring project considerablerisk.Consequently,the risk management of old city transform to real estate developmentproject have great practical significance.This article fistly give a fully systematic description on the theory of real estatedevelopment project risk management.Secondly analyse the necessity of old cityreconstruction and the importance of fullfilling the old city transformed to real estatedevelopment project.The author make Jiaozuo Victory Street reform project as an example,give asystematic, comprehensive analysis on every development stage.And thenrespectively through the quantitative and qualitative analysis combined Break-evenanalysis with Sensitivity analysis,afterwards establish the model of risk evaluation.According to the analysis come up with reasonable scheme to avoid risk. Combinedwith the new collection of compensation policy, puts forward the resettlement of oldcity residents scheme.
