Corporate governance is a common focus of the modern enterprise, the main problemis solve the separation of ownership and management,"principal-agent problem". Thisproblem occurs mainly in the interests and information asymmetry of owners and operators.Although the theorists and business practices have been committed to addressing theproblem of corporate governance asymmetric(Including interests and information),"Enron" shocking shady events are often seen. These are warning us corporate governancestill is one of the important issues of company.Profound impact generated by the rapid development of information technologyin all areas of society far more than the meaning of technology development. Fororganizations, especially business organizations, The application of advanced informationtechnology not only bring convenience to treatment its internal and external of variousaffairs,but also produce major changes in all aspects of the management incluedorganization’s governance model,way of thinking and so on. In view of this, This articlefrom the perspective of the IT, The theoretical analysis of the far-reaching impact of IT tocorporate governance, and empirical discussed the relationship between corporategovernance and governance performance under the conditions of informationtechnology.Thus,given the countermeasures how to carry out the corporate governance ofinformation technology.The main content of this paper and innovation is reflected in:First, on the basis of domestic and foreign literature, Focus on the attention ofcorporate governance and information technology use performance, Linking IT andCorporate Governance. Depth to explore how information technology impact on theefficiency of corporate governance. Theoretical studies have shown that IT affect corporategovernance in three areas: strengthen Information control rights of the shareholders, theBoard of Directors, strengthen the communication frequency in the governance body,Expansion of the boundaries of the governance body, strengthen employees to participatein corporate governance. On this basis, put forward the theoretical model and the threebasic assumptions.Second, on governance performance evaluation, No longer adhere to its traditionalpractice of alternative governance performance with business performance, but measureddirectly with the agency costs. Because this study information technology is used to solvethe principal-agent problem in corporate governance, Therefore, the reduction of agency costs is a direct manifestation of the corporate governance performanceimprovement.Better able to explain the impact of IT on the efficiency of corporategovernance.Third, from the perspective of IT to explore the relationship between corporategovernance and governance performance.Analysis of the impact of IT in corporategovernance mechanism.And to propose countermeasures how to corporategovernance.Studies verify the assumptions one and assumptions three, and assuming twohas not been proven.
