A Research On The Changes Of Corporate Governance Structure About Du Kang Distillers Holdings Limited

The economy of our country has evolved into sustainable high-speed development owingto the deepening of reform and opening up since the mid-nineties. As the most importantorganizational structure of modern enterprise system, the rational setting of corporategovernance structure has become one of the main factors which restricting the rapiddevelopment of China’s enterprises. The research object of this paper is Du Kang DistillersHoldings Limited, an integrated holding company taking wine industry as its leading industryand incorporating research and development, production, operation, marketing, managementand investment. By looking back on the development of Du Kang Distillers Holdings Limited,we can discover its experiencing of complicated process and cycle development involvingboom, recession, depression and revival in the past forty years. In this paper, the research willfocus on every major reform of this company’s corporate governance structure in the processof its renaissance.Doing research on corporate governance is of some special theoretical and practicalsignificance for our country. Under the background of new era, the external environment hasbecome relatively more beneficial for the existence and development of China’s enterprises.Thus, the internal governance has gradually evolved to a key factor which decides how longan enterprise can survive. Apparently, there will have a strong theoretical and practicalsignificance for Chinese companies which are in the rapid growth by studying governancestructure of enterprise’s corporate and discussing the evolutionary of governance structureduring the growing process of enterprise.This paper will be divided into three parts. I will discuss the putting forward of theresearch question and the significance of research ideas and the methods in the first part. Thesecond part of this paper deals with the concept of corporate governance structure, what’smore, to make a description and explanation about the set of enterprise’s corporate governancestructure at present in order to lay a good theoretical basis of the orderly development of thispaper. The third part will conduct astudy which is based on three developmental stages of Du Kang, restructuring, amalgamationand listing respectively lead to changes of corporate governance structure.
