Under the knowledge economy era, in order to survive in the competition, In response to the strategy of innovation-oriented country and Power of Science country, also to realize industrial upgrading,A number of high-level enterprises who have high-tech content, high processing and high value-added features arise at the historic moment.expecting to rely on the advantages of the technology innovation to create value.However, in the process of operation, many enterprises lack the value creation drivers, which lead to the efficiency of creating value is not satisfactory.The reason is that these companies didn’t pay attention to the main creators of value——the human capital’s position and role, failed to meet the effective incentive of human capital.So to motivate the human capital to enhance their enthusiasm and initiative as the basic goal, in order to realize the enterprise value added value for the ultimate goal,it is very necessary to build an effective human capital incentive mechanism which can enhance enterprise’s core competitiveness, and realize the benign and healthy development.Throughout most of the existing human capital incentive mechanism, although there are certain incentive effect, but also is accompanied such as "opportunistic" and "moral hazard","adverse reactions", which can’t achieve the desired incentive effects, unable to achieve the efficiency of the enterprise value drivers. It’s because the incentives are not combined with the intrinsic characteristics of the human capital itself, cannot fundamentally effective motivation for human capital. Now, the contradiction between human capital delayed in play its potential and the enterprise value creation is increasingly significant, so it needs to build an effective incentive mechanism, to overcome the disadvantages of traditional stock incentives, fully considering the characteristics of human capital, to dig deeper into the human capital potential and value creation for the enterprise services,so based on analysis the domestic and foreign existing incentive way, combined with the characteristics of a high-level business.With its specific attribute of the human capital as the breakthrough point, points out the necessity of human capital has a property right, and according to the characteristics of the human capital property right transaction, analyzes the feasibility of the high-level enterprise human capital holding the equity, and finally confirmed the design thought that make human capital hold equity in enterprise to finish the incentive design. Adhere to the principle of "everything in real contribution to talk" in design, through the actual investment of human capital in the current evaluation, combined with individual contribution to dynamic adjustment of human capital equity, formed a dynamic incentive model, in order to realize scientific and effective motivation for human capital.This incentive mode effectively overcome the deficiency of the traditional incentive mode, solved problem that human capital contribution is not easy to measure due to the invisibility、concealment and uncertainty, achieve the goal the original design.This paper build the dynamic equity incentive mechanism mainly includes initial recognition of human capital equity, dynamic adjustment, strengthening security. Using salary point system principle to make an initial recognition of human capital holding the equity. Using the relationship between human capital’s accrual and actual contribution to determine the initial confirming the adjustment coefficient on equity in the later dynamic adjustment.Through the integrated use of monetary indicators and non-currency indicator to realize the effective coordination of the qualitative analysis with quantitative analysis, which also is this paper’s bright spots.while adjusting to equity, put forward the corresponding strengthening safeguard measures and the corresponding revenue docking mechanism in view of the human capital weak mortgages, provides the effective implementation of the dynamic equity incentive mechanism guarantee.Finally, put forward the incentive mechanism in the possible problems and solutions in practical application, further enhance the realistic feasibility of the dynamic equity incentive mechanism. The dynamic human capital equity incentive mechanism has the important reference value for human capital incentive practice in high-level enterprise, and the core of knowledge-based enterprise.
