Corporate Governance Of Power Enterprise

In this paper, DT power company as an object, from a corporate governance point ofview to explore the low efficiency of state-owned enterprises, a decrease of operating results,the root causes of issues such as personnel burdensome.Paper reviews the development of the theory of corporate governance, combined withthe power company DT case, analysis of the Chinese power companies in corporategovernance by the state two rights restrictions, personnel working with overlapping nationalcommitment to basic industries and the corresponding social responsibility and so on.The article points out the root causes of inefficient state-owned enterprises and otherissues that the corporate governance of state-owned enterprises internal structural imbalance,there is no connotation company system; business goals pattern is not clear, employees lack ofresponsibility, lack of state-owned enterprises and further lead to the appropriate means ofcompetition and the market economy system regime. In DT power companies, for example,specific performance does not create a system of modern enterprise system, excessivedependence on leadership, institution building, and subordinate units to ignore responsibilitiesand rights issues is not clear.As a state-owned enterprises, monopoly power companies have both characteristics andhave the particularity of the energy industry, the pattern and structure of its corporategovernance should be based on the corporate governance of state-owned enterprises, furtherinnovation and improvement, to meet power supply companies to serve the community andscientific development needs. Chinese power companies can strengthen the construction ofthe board of directors, the rational design of incentive and restraint mechanisms, to play therole of party organizations and other ways to improve corporate governance.
