With the ongoing economic globalization and rapid advancements of science and technology, the enterprise network organization, as the Value Networks, will achieve synergies and create value through concrete value activities including the exchange of resources, information sharing, the learning of capacity and so on. Network governance structure is one of the organic elements of network governance practice. It has already attracted broad attention in academic circles in recent years.The paper defined the Excess Value as the value that network organization create more than the sums of member companies separately create. The paper would explore the network governance structure through study who control the configuration of excess value sharing.Based on some of basic theory, the paper dealed with the literature research achievements about network governance and the excess value. Then the paper defined Excess Value while analysing the content of value as well as the value activities of network organization. The paper pointed out that complementary resources, knowledge sharing innovation, relationship building, as well as external economies of scale can promote the realization of the synergies of the network organization and the reduction of transaction costs.This is the reason of the formation of excess value at network organization. Because of the presence of contractual incompleteness and task complexity, network organization can’t confirm complet value sharing rule in advance, which leaded to the presence of excess value configuration issues. So the paper analysed some influencing factors of who control the configuration of excess value sharing. Among them, resource dependence, the ability to drive and network location would affect the strength of the individual enterprise level configuration right, network density and mechanisms constraint would affect the strength of the whole network level configuration right. And the paper selected the individual enterprise level configuration rights and the whole network level configuration rights as two dimensions, and propose analytical framework of the network governance structure including four types. The paper selected a single case to test proposed analytical framework of network governance structure through field interview. Finally the paper reached the conclusion.
