Recently, with the competition in the market getting fierce, room for profit of a single firm is becoming smaller and smaller. Hence, forming the enterprises cluster has already turned out to be a new pattern to profit through sharing the cooperative income among the firms. However, the development of the enterprises clusters in our country is less than satisfactory. Most of the clusters still assume the very style that only the similar firms cooperate in some district to form the cluster. Meanwhile within the cluster, firms are short of the stable collaboration network. In that case, the production cost couldn’t be dissipated among the related firms. What’s worse, firms couldn’t experience the profit benefit brought by the collaboration in the cluster. All behind these are lack of the learning mechanism for the knowledge spillover to share the cluster profit as well as the performance aroused by this mechanism. Nevertheless, the question why the knowledge spillover within the cluster hardly integrates with the learning process of the related firms still bothers us. For this reason, this paper will start with the analysis of the main factors that hinder the firms in the cluster from the sustainable learning of the knowledge spillover. Then it will consider the contractual relationship as the core variable and explain the different features displayed by the factors which include technological innovation diffusion, spatial agglomeration, corporate R&D, business credit and absorptive capacity with the variation of the contractual relationship variable. At the same time, this paper will also analyze the knowledge transfer behavior of the firms in the cluster and its effect on profit sharing through collaboration.Two-stage-model analysis:we divide the process that from Knowledge Spillover to Profit Sharing into two stages for Game theory analysis, one is from Knowledge Spillover under cooperation to profit-generating and the other is from profit to Profit Sharing.First of all, in this article, we bring trust level, acquisition of study mechanism and absorptive capacity into the study of relationship of knowledge spillover and profit-sharing within enterprises of cluster,in order to reveal the source of their benefit.Secondly, Game Theory method and ESS are applied to study the way how Knowledge Spillover affect the benefit sharing through the trust relationship in Knowledge network among the enterprises of cluster. We find that along with the degree of stability of the trust relationship, the major factors of knowledge spillover which include technological innovation diffusion, space concentration, enterprise R&D and so on strengthens the transformation from spillover of knowledge among enterprises to profit-sharing positively, and enhances the cohesion of clusters. Model analysis indicate the choice between enterprises at the probability of profit sharing policy are positive correlation with the gain coefficient in knowledge spillover and their mutually trust level, on the opposite, it is negatively related with coefficients of cooperation cost and cooperation risk.Finally, on the basis of research at the previous phase, we set up a profit-sharing contract decision-making model to analyse the stage from profit to profit-sharing,and we have stated the validity and feasibility about the profit-sharing contract decision-making model, as well as analysed the important effect which is produced by the enterprise of preference during the process of profit-sharing. We mainly intend to solve the two questions on how to share profit making enterprise profit maximization problem and how to distribute the profit further after profit has been produced by the knowledge spillover.This two phase model analysis is to encourage enterprises to reach the purpose of mutual benefit.The industrial clusters in our country have been confronting a disadvantage situation over a long period of time, which has become the biggest stumbling block preventing the clusters from developing rapidly. Therefore, it has become an urgent issue right now that how to promote the knowledge spillover among the enterprises and how to improve the mutual profit sharing effectively so as to form a stable and healthy development environment for the enterprises. Only in the way that suits the enterprises themselves to serve the common profit sharing will the development environment improve and will the enterprises make a larger profit to remain invincible.
