Tendering&bidding is a market about the sales of bulk goods, construction and other areas universally applied in complete economy countries. It also plays an increasingly active role in Chinese economic areas. The Issuing of PRC Tendering and Bidding Law can regulate Tendering and bidding activities. Meanwhile, the departments and provinces develop a series of regulations, standards and measures to enable bidding activities based law and rules. In today’s increasingly competitive market, all the stakeholders desire that they can get most benefit in this game. So they will act according to their own objectives and interests. Their behavior has a direct impact on the process and the effect of the decision-making as well. How to compete legally making full use of intelligence to achieve the goal in permitted conditions? This article will address this core issue.This paper starts from the behavior process of stakeholders. Firstly it introduces the "bidding","stakeholder","ethical behavior" and other concepts to establish the basic system of theory. Secondly, it analyzes ethical behavior and summarizes the ethical standards of acts they should follow combined with specific cases, and then discusses the main constraints and impact. At last, it proposes feasible strategies and substantive recommendations. This is the focus of this paper, but also innovation.These studies will undoubtedly have important social and practical significance. This will not only regulate the bidding activities further more and maintain fair market order, but also improve efficiency of resource using and reduce transaction costs. What’s more, it will improve stakeholders’professional quality, self-discipline, and enterprise strength.
