With the rapid development of Chinese economy and the multinational competition, cross-border M&A have become the main form of business scale expansion, more and more Chinese enterprises began to go abroad in an attempt to achieve their strategic objectives through cross-border M&A. The role of private enterprise in the development of China’s national economy has become increasingly prominent in many private enterprises have the ability to cross-border mergers and acquisitions, cross-border M&A to become a member of the tide. Compared with the state-owned enterprises, private enterprises with clear property rights, mechanisms and flexible features, and are subject to less government intervention.It’s self-awareness and a strong sense of competition are, relatively speaking, more efficient than state-owned enterprises in foreign investment in recent years become China cross-border M&A business force.However, we should also see that private enterprises still have many problems in the process of cross-border M&A. In this paper, the author analyze the status of China’s private enterprises through cross-border M&A though comparing Europe and other developed countries through SWOT analysis,then pointed out the advantages of Chinese private enterprises in the M & A process,weaknesses,opportunities and threats presented private enterprise transnational merger Suggestions.The articles are divided into a total of six chapters, the first chapter is a research purpose, context and meaning, the second chapter is the theoretical basis for the definition and related concepts. The third chapter is the status of China’s private enterprises analyzing transnational merger. Chapter four though SWOT module to analyze the advantages of Chinese private enterprises transnational mergers and acquisitions, weaknesses, opportunities and challenges. The fifth chapter compared the Chinese private enterprises with the companies in Europe and America, in terms of legal environment, cross-border M&A strategy and motivation, such as cross-border M&A industry, trying to identify gaps and deficiencies of Chinese private enterprises in Europe and America and other developed countries. Chapter six presents comments and suggestions against the current situation of Chinese private enterprises M&A. From both the corporate level and the government level, the government should give support from institutional and corporate laws and regulations, companies should improve their own ability, compensate the weakness, enhance the competitiveness of international M&A.
