With the development of the society, Chinese non-profit organizations that is engaged in the field become more and more widely. Besides, its organizational functions have increasingly prominent. Thus, non-profit organizations have become an important force in building a moderately prosperous society of China. While the Chinese nonprofit organizations continuing to grow and develop, there are a number of issues that must be governed. As the core department of an non-profit organization, boards of directors has played a vital role to the development of nonprofit organization. Currently, Chinese non-profit organization’s board of directors have a series of improper positioning problems in fulfilling functional localization of the Council. The problems not only affected the sound system in the Council, but also affected the healthy development of Chinese non-profit organizations. This paper mainly through several typical foundation as an example to discuss the council of Chinese non-profit organizations’ improper positioning problems and their causes. Lastly, in order to help Chinese nonprofit organizations better and faster development, the paper use the experience of the United States’ nonprofit council for reference to propose some advices to help Chinese non-profit organizations’ council reasonable position.
