Research Of Commercial Domicile Registration Legal System Reform In China

Commercial domicile is important for businesses both in their commercial activities, and the legal responsibilities. In the traditional commercial activities, the commercial subject(businesses) as a fiction of personality, must have its domicile in general. In China, Commercial domicile is one of the important contents of registration,with its aim to indicate the legal status of commercial subject and maintain the transaction security. Being the main offices of commercial subject, Commercial domicile has the legal value of supervising the company in registration tax levy, and in determining the jurisdiction,or sending legal documents, and protecting the security of transactions. However, research on commercial domicile is not enough.This thesis consists of five Chapters. Chapter One is an Introduction. Chapter Two,the necessity of Commercial Domicile Registration Legal System Reform in Guangdong Province, elaborates the development of the system and analyzing the motives of the reform. Chapter Three gives a summary description of the commercial domicile legal system reform in Guangdong, analyzing the background, measures and results. Chapter Four, the review Commercial Domicile Registration Legal System Reform in Guangdong Province, analyzes the problems with the existing reform by comparing the difference between the pilot experimentations. Chapter five offers the introduction of Commercial Domicile Legal System in other countries and the experiences we can learn, puts forward several suggestion for improving the commercial residence registration system in china.
