China’s State-owned enterprises (SOE’s) are accompanied by the establishment of new China and from its inception they have a special historical mission till today. Research on Chinese State-owned enterprise problems naturally became one of China’s core economic issues. A group of leaders of State-owned enterprises stepped down because of their corruption combined with the growth of the SOE’s. The Chinese Government has attached great importance to anti-corruption work of the leading cadres, imposed for corruption and corrupt practices of "zero tolerance" policy and unswervingly upholding integrity and combating corruption. But the State-owned enterprise leaders’corruption cases continue to emerge.By analyzing the typical corruption cases of some SOE’s, this thesis analyzes characteristics of current state-owned enterprise leaders’corruption. These characteristics are:the corruption of SOE’s leaders is still in the low class; Leaders of large state-owned enterprises constitute the main body of entrepreneur’s criminals; The "boss" or key executives get involved, as well as the groups of businessmen or relatives; Corruption operates in ways that are becoming more complex and secretive, with high technology, and is disclosed by external forces; the criminals are becoming younger, early preventive measures and early warning are needed.Based on the Rational-economic Assumption, the Principal-Agent Theory, the Incentive Theories and other classical theories at home and abroad, the author concludes the causes of corruption of the SOE’s leaders as following:the failure of current balances system of powers; the incentive mechanism not in place; the bottom line is broken; the roles of SOE are not clear, leading to significantly high corruption increase;.On this basis, the prevention measures are proposed:improve the corporate governance structure; Establish an effective incentive mechanism; establishment of information publicity system; improve the protection mechanism of the corruption informers; shaping the culture of integrity.
