The National Medium and Long-term Educational Reform and Development Plan Outline(2010-2020),within which the chapter of construction of modern school system puts forward to perfect the modern university system with Chinese characteristics, and improve the governance structure of university. The governance structure involves in macroscopic governance structure and microscopic governance. Macroscopic governance structure comprises relations between universities and government, university and society, the communist party leadership and the president responsibility, administrative power and academic power. Micro governance structure mainly refers to the system within school and operating mechanism.H was established in 2004, the school running scale expands and the quality changes constantly within 11 years. Since 2009, the comprehensive popularity of H has been rising within 3 years, and coming to the top. While the other independent colleges have run independently, H has been attached to the maternal university, but drifted away. Since 2011, the rank of H has showed a trend of decline. The article summarizes the achievement and the problems from the aspects of the composition and function of the board of directors, the setting of institutions, the teachers’ management, the students’ management, the teaching management, use of funds. Investigate its reasons, one is that the independent college is not independent, the government controls many things which are not their business, but ignores which they should control, the limited capacity of the investor; the second, the management mode is not unreasonable, appears in using the model of doing business to operate college, and with path dependence of the public university,; the third, the leaders of the institute lack qualities of running a college, either are not familiar with education, or the administration, they are short of systems thinking and strategic vision. To be summed up, there are drawbacks within governance.The article points out that under the guidance of the principle of system, H college should reform following the basic points that strengthening the government’s macro management of independent colleges, while perfecting the director system, coordinating the relationship within the elements of internal system, optimizing the internal management system, improving the ability and power of college, in the force of inside and outside system, make the college develop into a new stage.The article points out H college should reform following the basic points that:first, complete the transformation work as soon as possible, decouple with the matrix, to achieve independent running. H should adapt to the new environment and change, according to the new policy to complete the transformation, with the help of the opportunity, adjust the internal structure, optimize the potential of internal and external relationships, finally, to achieve the purpose of enhancing the overall efficacy of organization. The second, perfect the management system of the board of directors, regulate the generation and composition of directors, establish the incentives and constrains. The third, reform the structure of internal governance, establish scientific mechanism, including complete task of transformation to achieve autonomy; improve the management system of board of directors, strengthen experts’ governance; expand management autonomy of department, settle on the application-oriented talent development system and strengthen the quality management on core of specialty; the government should also set up personnel information database, combine the teachers’ current employment system with fixed employment system; improve the quality of students’ management, logistics service runs in low-margin; and continue to improve the order-training system of some professionals. The forth, the government should abandon the thought of ontology, gradually turn to focus on service. For independent college, rather than formulate fundamental policy, governments should highlight the function of supporting, to give corresponding policy support, to enjoy equal treatment, and get the respect, the government should also strengthen the supervision of the quality of the independent colleges, to help them walk out of predicament.
