University is an indispensable educational institution of the 21 st century which has interactive intricate relationships with the various internal and external stakeholders. As a member of Chinese higher education, the Open University of China committed to training various kinds of professional personnel who meet market demand and to improving comprehensive quality of the labor force with traditional universities in the past nearly four decades. With the rapid development of Chinese social economy, more and more scholars focus on the University Governance, especially the introducing and the using of stakeholder theory. This paper takes Quanzhou Open University as the research object to have a study on the governance structure of Open University with the stakeholder theory. The improving of governance structure of Quanzhou Open University could strengthen its competitiveness and enhance its development potential.This paper starts from the perspective of stakeholder theory, and the governance structure of modern university. Then it summarizes the development of Quanzhou Open University and its internal and external governance structure currently. Based on the investigation and research of the governance structure of Quanzhou Open University, it finds out the most internal stakeholders of itself are the government, the enterprise and the society and the most external stakeholders are the headmaster, the teacher and the student. After that, it analyzes the difficulties and the reasons of the governance structure of Quanzhou Open University. Finally, it proposes some countermeasures for the governance reconstructing of Quanzhou Open University.Building a partnership will strengthen the links between Quanzhou Open University and its stakeholders and distinguish each others’ the rights and the duties. All of these will promote the development and progress of Quanzhou Open University.
