In recent years, both international and domestic economy is getting more and more complicated. The European and American countries have not yet recovered from the suffering of subprime crisis since2008, followed by the sovereign debt crisis spreading over European countries. In China, a large number of illegal cases and breach of laws and regulations occur in banking and financial institutions and result in huge losses and damage commercial banks’credit. It is critical to strengthen compliance management for healthy development of commercial banks. Currently, many Chinese banking and financial institutions have built the compliance department, forming the compliance risk management framework preliminarily, and hired specialized compliance management professionals. Strengthening compliance management of banking and financial institutions has been a common consensus. However, targeting on risk control, compliance management is a complicated system and it just begins in China. It faces with many problems and difficulties, so practice and experience are to be accumulated.This thesis is based on the author’s long time practical work. It evaluates objectively bank J and its S branch’s compliance management on the basis of in-depth understanding of compliance risk management theory and after analysis of compliance risk management systems of commercial banks both in China and abroad. It elaborates problems and reasons of bank J’s compliance management, and comes up with practicable measures on the build and implement of bank J’s compliance management, including strengthening compliance management organizational structure and functional responsibility, deepening the connotation of the compliance management oriented by value creation, promoting the implementation of compliance by electronic means, strengthening supervision and inspection of compliance based on risk control, handling the relationship between compliance department and business department, risk management department and internal audit department correctly, continuously carrying on compliance culture propaganda and building characteristic compliance culture, improving competence of compliance personnel and reinforcing performance appraisal mechanism of compliance personnel.This thesis is divided into six parts.Chapter1analyzes background and significance of the topic.Chapter2analyzes history and present situation of compliance management of both Chinese and foreign commercial banks so that compliance risk, compliance institutions and their functions can be understood correctly.Chapter3analyzes and elaborates current situation of compliance risk management work of S branch from compliance guiding methodology and principles, compliance management process, organizational structures, personnel team build and compliance risk management mechanism.Chapter4,5,6are the key chapters of the thesis. Countermeasures and suggestions have been put forward to perfect compliance management by comparing compliance management of S branch with that of other Chinese and foreign commercial banks.In a word, the thesis tentatively analyzes on how to improve and optimize the compliance management system of S branch of bank J. The purpose is to combine previous research and current situation of compliance management. Due to my scarcity of theory and limited working experience, there must be many deficiencies and subjective opinions in this paper. Any suggestions and corrections from experts and scholars are highly appreciated. I will continue to learn and explore my vision in the future. Thank you for your instructions.
