With the continuous development of China’s economy, more and more Chineseenterprises have walked to the world, established branches or owned enterprisesabroad through many ways such as purchase, direct investment etc. However, withmore and more Chinese enterprises go abroad, many problems will also appear.Except for the risk coming from political, economical and social factors of theforeign countries, there are bigger problems that coming from the internalmanagement of these overseas enterprises. All of these enterprises facing a commonproblem, which is existing management structure difficult to copy, what newstructure is needed and how to establish it? Many Chinese scholars and instituteshave done lots of researches in this field, and have been actively seeking new ideasand methods in corporate governance structure.An important method to realize corporate governance is to transform theorganizational structure of the company; organizational structure means that weresearch the organization forms of enterprises from the perspective of corporategovernance. In this dissertation, hoping to use the concept of “The LearningOrganization” which is advocated in The Fifth Discipline to solve current problemon corporate governance structure of the state-owned enterprises overseassubsidiaries.The dissertation first discusses the main theoretical studies and results whichare researched on “The Learning Organization” by domestic and foreign scholars.Then take the example of H Company, engaging in mining development inIndonesia, which belongs to W Resources Group-a large state-owned enterprisesdirectly under SAC, Tianjin to research how to transform the corporateorganizational structure by the tools such as “circular organizational structure”,“learning network”. At last the dissertation evaluates the results of thetransformation of “learning organization” through Balanced Score Card and theactual operating results of the enterprise. Through evaluating we can conclude thattransform the enterprise by “learning organization” can effectively improvecorporate governance,"systems thinking""self-management""common vision" thatare proposed by the learning organization are the short board of overseasstated-owned enterprises which is needed to be improved when facing the complexforeign political&economical environment, especially the resource development enterprises.Through the research in the dissertation we can provide some reference andhelp to transform the organizational structure and corporate governance on thestate-owned enterprises overseas subsidiaries.
