Since the middle of 1980 s, the farmers’ professional co-operatives have developed rapidly in our country. The farmers’ professional co-operatives have made positive contribution to deal with the problem of production and sales among peasants.Effectively integrating into the development of market economy. However, in fact, there are many problems in the development of the farmers’ professional co-operatives, such as the low participating enthusiasm of the farmers’ professional co-operatives and imperfect governance structure of the farmers’ professional co-operatives. These problems directly restrict the development of farmers’ professional co-operatives.This study is based on the questionnaire survey of the current situation of the farmers’ professional co-operatives in Yanshan and Yongxiu County, Jiangxi Province.Combing the Marxist cooperative governance theory, principal-agent theory, the team production theory and the corporate governance theory and the related farmers’ professional co-operatives management research and using the method of quantitative analysis, this paper are trying to explore problems of farmers’ professional cooperative governance structure, and give some suggestions to optimize the governance structure of farmers’ professional co-operatives. The research has found that the development of farmers’ professional co-operatives is still at the primary stage; the decoupling of governance structure of the farmers’ professional co-operatives exists in the development of the farmers’ professional co-operatives, including the decouping of the council, supervisory-board, general meeting of thecommune members and regulatory framework of the farmers’ professional co-operatives; the management ability of the ordinary members is insufficient,participating enthusiasm is not high and decision-making mechanism of the farmers’ professional co-operatives needs to improve.Based on the above research, this paper puts forward the following suggestions: to optimize the internal governance mechanisms of the farmers’ professional co-operatives(including the council, supervisory board, general meeting of the commune members);to improve the decision-making mechanism of the farmers’ professional co-operatives;to accelerate the construction of incentive mechanism the farmers’ professional co-operatives; to make more communications between farmers’ professional cooperatives; to strengthen external policy support for farmers’ professional cooperative governance structure(including institution support, financial support).However, due to the limited sample data and the limited index selection of governance structure and governance performance, the single correlation analysis method as well as without considering the external effects of other factors in the cooperative governance, there are certain limitations in the conclusion of this paper.
