To China dominated Eastern nations, carry the banner of global economic recovery, to attract the attention of the world, especially China, dragon is soaring. Since Chinese after joining the WTO, the financial industry is gradually opening up, foreign banks in the China this emerging capital markets has long coveted, come in great numbers, China banking industry is facing tremendous pressure of competition. The financial industry is a knowledge intensive industry, talent is the crucial impetus, the financial industry fast development however, face the market mechanism fully to foreign banks, China’s banking industry high-end financial talents have quit, loss is a serious problem of talent, caused the bank management’s attention, strengthen human capital management, keep good talent imminent.China’s commercial banks on talent incentive system, there is a serious problem. Our bank incentive for talents, most are short-term incentive mode, short-term behavior causes bank executives obviously, banking talent, is again the loss problem is widespread, into our banking industry to talent incentive need long-term incentive system. The practice of development of world banking industry told us, equity incentive is an effective long-term incentive mode. Stock based incentive mechanism, through a variety of means, the core staff of senior management personnel and part of the bank’s long-term incentive compensation into immediate future, designs some evaluation index, working service life index as constraint conditions, thereby reducing the short-term behavior and core staff executive job hopping idea. Equity incentive can also be granted to executives and core talent part of the shares, so that they have a certain amount of residual claim, so that they can feel the person trying to make banks, bank successfully to gain more returns, their personal benefits and long-term interests of enterprises closely linked, so as to stabilize and enlarge the Bank personnel.However, because of our country’s socialist market system, special, so with the western developed capitalist market system still have bigger difference,, we can not copy the Western model of equity incentive, to fully understand the development of China’s banking industry, essence and characteristic analysis of industry personnel problems of our bank, and then according to the world bank’s equity incentive rich practical experience, the creation of China’s commercial banks for the equity incentive model, strengthen the competitiveness of China’s banking industry.In 2006, China’s securities market began to develop, to explore our country banking industry began to equity incentive. Industry, agriculture, construction, in four big state-controlled banks, merchants, the people’s livelihood, CITIC, joint-stock banks, the Bank of Beijing, Bank of Nanjing City firms have put forward their own equity incentive plan. But because of government regulatory barriers, the Ministry of Finance in order to avoid the loss of state-owned assets, to stop the country direct holdings of equity incentive plan, only the release of CCB’s employee stock ownership plan for the pilot, other banks, the Bank of Beijing, Bank of Nanjing city commercial bank equity incentive, is a stock reform to listed no, the greater significance, and China Merchants Bank have long-term incentive plan, content system is more complete, and has been in regular execution, with great research value.Minsheng Bank, as a private capital formation of the joint-stock banks, in set up later, show the innovation ability and executive force strong, rapid development of its model, many small and medium-sized joint-stock banks are learning. However, with the rapid development of Minsheng Bank at the time, did not improve the incentive mechanism of the bank executives and key personnel, resulting in a large number of core talent was created in 2013 and the bank job hopping and senior management, directly into a competitor from their employees. The loss of a large number of high level turbulence and staff, the people’s livelihood creative transformation strategy development problems, internal military instability, external facing the replication of Ping An Bank cruel competition.In this paper, the theoretical foundation of the western equity incentive, fully understand the current status of the development of China’s banking industry, analyses the reasons of banking talent loss, combined with the construction bank employee stock ownership incentive plan and China Merchants Bank stock appreciation rights, restricted stock incentive plan, suitable models are discussed for the Minsheng Bank’s equity incentive.
