With the pace of reform in china to promote simultaneous development of new industrialization and urbanization, energy demand will continue to grow and be huge in volume. Decisioned by China’s basic national conditions, the status of coal as energy supply basis will never waver for quite a long time in the future. Currently, the country is in shifting phase of economic growth, under the multiple pressures of overcapacity and weak demand and low price as well as national industrial structure adjustment and energy saving and emission reduction, coal enterprises are facing serious challenges to survive, the disadvantages of extensive development have been exposed obviously. In this paper, incomplete introduction is used to sum up the existing inappropriate laws among coal enterprises. Then the paper points out that the coal enterprises urgently need a change of development mode, implement the strategic transformation actively, accelerate the deployment of transformation, shift into diversified, clean, intensive, organization flattening, groups and international direction. This will have important practical significance in improving the development quality and economic and social benefits and achieving sustainable development for the coal business, it will also have great strategic significance for the country’s energy security.In the time background of complex and changing situation and coexistence of opportunity and risk, coal enterprises face with many uncertain factors in the revolution of transformation, whose undesirable changes and shortcomings will turn into potential risks restricting the transformation process and the success or failure. Given this, the paper has conducted systematic research on the risk of coal enterprise strategic transformation. Firstly, according to the theories of strategic risk types, combined with the characteristics of the coal industry, the risk factors are analyzed and ratiocinated with logic from the five dimensions of macroeconomic environment, industry environment, internal resources, internal capabilities and organizational structure, the specific risk sources have been identified, risk index system of coal enterprises strategic transformation consisting of 5 primary indexes and 30 secondary indexes has been built accordingly. Secondly, the paper uses the fuzzy mathematical analysis method based on AHP method to set up a multi-level fuzzy comprehensive risk evaluation model which can also be used to assess every primary risk index. And then selects some large-scale coal enterprise in Shanxi Province-L group for case study, on the basis of having established its risk index system of strategic transformation, applies the model to its risk assessment resulting in the risk to be general level, further judges out the sequence of primary risk indexes from maximum threat to minimum as follows: internal resources, macroeconomic environment, internal capabilities, industry environment, organizational structure. This conclusion has a certain reference value for the L group to focus on management of prominent risk. Lastly, according to the basic idea of risk management, the paper proposes countermeasures against the risk of coal enterprise transformation from the four perspectives of avoiding risk, transferring risk, reducing the risk loss and reducing the risk probability. The above results have important significance in strengthening risk awareness, improving risk management capabilities, avoiding risk effectively and ensuring a successful transformation ultimately.
