| With the development of globalization, the enterprise is no longer limited to economicinfluence but also has an important influence on the social life. As the core the board ofdirectors can coordinate the relationship between the stakeholders of enterprises. Therelationship between the board of directors and Corporate Social Responsibility was discussedin this paper.In the first chapter, the background of Corporate Social Responsibility is shown in thepaper. In the second chapter theoretical analysis about the concept and the theory of corporategovernance, the stakeholder theory, the principal agent theory and the concept of CorporateSocial Theory and the relates concepts are conducted. In the third chapter this paper analysesCRS from the view of Stakeholder Theory based on the principal agent theory and list fivefactors of the characteristics of board of directors and proposes five hypotheses and establisha multiple linear regression model.In the forth chapter the listing corporations in Shandong province in2011and2012areselected as the samples to test the regression model. This paper studies the characteristic ofthe board of directors, including board size, proportion in independent directors, leadershipstructure, the proportion of women directors and board meetings. The empirical resultssupport the positive relationship between board size and corporate social responsibility; theresults support the negative relationship between proportion in independent directors andcorporate social responsibility; the results do not support the negative relationship betweenleadership structure and corporate social responsibility; the results do not support the positiverelationship between the proportion of women directors and corporate social responsibility;the results do not support the positive relationship between board meetings and corporatesocial responsibility. Finally this paper collects the results analysis, and offers some proposal to reform thestructure of the board of director, and urge those corporations to fulfill social responsibility.This paper put forward corporations should set the appropriate number of board sizeaccording to those own situation; to increase the proportion of independent director; Differentleadership structure have different effects, so corporations should choose a kind of leadershipstructure according itself environment. Corporations should increase the proportion of womendirectors and increase the participation of women directors. |
