After30years of development, private enterprises has become an important component of national economy. The promotion of employment, technological innovation and vitality enhance of the market, private enterprises has shown more and more dazzling. Over the past years, the corporate governance structure unscientific is a prominent weakness of private enterprises.Adjusting and optimizing of the private enterprises corporate governance structure is importantChinese private enterprises are family nature mostly. The theory and tools using of modern corporate governance is very necessary. Optimizing the structure of corporate governance, resolving governance issues of the private enterprises, is the first step towards to modern enterprise of private enterprises.Firstly, in order to explore feasible way for Chinese private enterprises,the theory of corporate governance at home and abroad are summarized and discussed.By analysis to identify the problems of Xiangfu company, put forward practical solutions. This article includes a total of six parts, the first chapter introduction, describes the research background and significance of the research objects and methods, describes research ideas and content framework.. The second chapter discusses the theoretical basis of the corporate governance structure. Third, fourth and fifth chapter is the focus of this paper, the situation research and analysis of company governance in Xiangfu. The third chapter is Xiangfu briefing and corporate governance issues discussion, chapters4and5is the solutions proposed for Xiangfu,diversification of property rights policies, safeguard shareholders’ meeting operation, strengthen the functions of the Board, a clear supervisory functions, the scientific use of incentive and restraint mechanisms, rational authorization strategies; strengthen the company communication, improve corporate governance culture, corporate executive capacity-building. Finally, this paper put forward concludes.In view of this, the study of this paper has the important meanings to the others domestic private enterprises.
