With the advent of knowledge economy, companies are facing unprecedented competition for talent tough. Human resources, as a primary resource, is essential to the healthy development of enterprises. In particular, the senior managers, who make the overall strategy of enterprise decisions and direct the business activities, play a decisive role. With the growing competition in the market and expanding the scale, human resources is increasingly restricted the further growth of the private enterprise. At present, there is a serious brain drain phenomenon among China’s private enterprises, of which the loss of senior management personnel of the enterprise combats more deadly.In this paper, take a fast developing private enterprise in Ningbo- X Co., Ltd. as an example, to analysis the incentives to its senior management status and issues in-depth.This article follows the "Literature review- Theoretical explanation- Status analysis- Empirical analysis- Policy recommendations" to start this thesis frame.First, as the basic concepts clearly defined, study on the incentives of senior managers at home and abroad are summarized and reviewed.Second, incentive theories analysis. Separately from the management point of view, economics, company governance point of view perspective to analysis three incentive theory. With management point of view, mainly study the hierarchy of needs theory, two-factor theory, need for achievement theory, ERG theory, expectancy theory, equity theory; economics, mainly from the principal-agent theories of analysis; from company governance perspective, this paper analyses the external management model in Europe and America, and the internal management model in Japan and Germany.Then, overview X Co. Ltd. senior management incentive situation and study about existing problems and problem causes.Then, the basic principles and specific measures of the X Co., Ltd. senior managers incentives Construction. The optimization monetary incentives, the implementation of flexible "self-welfare" programs, the establishment of mechanisms for open and fair competition for positions, creating a democratic and pleased communication platform and to build senior managers restraint mechanisms are the five specific incentives measures for X Co., Ltd.Finally, the article obtains conclusions, the innovation point and inadequate research.
